CONSTITUTION AND BY-LAWS
Article I Name and Purposes
Section 1. The name of this organization shall be: "The Missouri Valley Gem and Mineral Society of St. Joseph, Missouri".
Section 2. The purpose of this organization shall be:
(a) The advancement of earth sciences, lapidary arts and related subjects.
(b) To initiate and maintain interest in these subjects through study, periodic lectures, discussion, practical demonstrations and field trips sponsored by the organization.
(c) Cooperation with the St. Joseph Museum in maintaining related displays.
(d) Conducting an annual show for the general public, when desired.
Article II Membership and Dues
Section 1. Membership shall be open to all individuals interested in geology, mineralogy and lapidary technique, subject to the following:
(a) Payment of dues.
(b) Approval by simple majority of existing memberships.
(c) Any member acting in a manner detrimental to the organization shall be subject to disciplinary action.
Section 2. Dues
(a) Adult dues shall be $5.00 for the calendar year; which shall be the fiscal year of the society.
(b) Junior memberships shall be available at $1.00 for individuals up to and including sixteen (16) years of age.
(c) Membership not paid by the end of March shall be considered delinquent and will not receive benefits of the club, among which are notification of meetings and service on or by club committees.
Article III Election and Officers
Section 1. Elections
(a) A nominating committee shall be appointed by the president at the October meeting.
(b) Report of nominating committee shall be followed by nominations from the floor.
(c) Elections shall be held at the November meeting.
(d) New officers shall assume their duties at the beginning of the fiscal year.
Section 2. Officers of the society shall be:
(a) President, who shall preside at all membership meetings. He or she shall appoint any necessary committees.
(b) Vice-President, who shall assume the function of president when necessary.
(c) Treasurer, who shall maintain all financial records, receiving and disbursing funds for operation of the organization as necessary; reporting financial status at monthly meetings.
(d) Secretary, who shall record minutes of meetings, notify members of meetings, handle correspondence, issue memberships and report at meetings.
(e) Directors, three(3) members to serve with the President, Vice-President, Treasurer and Secretary as a Board of Directors.
Article IV Meetings and Committees
Section 1. Regular meetings shall be held on the 2nd Tuesday of each month.
Section 2. Meetings shall be conducted according to standard parliamentary procedure.
Section 3. For conducting society business, a quorum shall constitute one fourth of existing membership.
Section 4. Special committee meetings shall be held at the discretion of the committee chairman.
Article V Finance
Section 1. The Missouri Valley Gem and Mineral Society of St. Joseph, Missouri shall be a non-profit organization.
Section 2. When desirable, an auction shall be held with materials donated by members.
Section 3. Funds accumulated from payment of dues, donations, receipts from any auctions and/or shows shall be disbursed for expenses of the society.
Section 4. Disbursement of Funds:
(a) Banking shall be at a convenient bank.
(b) Amounts under $10.00, for club expense, may be issued at the discretion of the president.
(c) Amounts over $10.00 shall be disbursed by simple majority vote of membership.
Section 5. No salary expenses shall be allowed.

Section 1. Constitution and By-Laws may be amended by two-thirds majority vote of membership present at a regular meeting, providing proper announcement has been made of the proposed amendment at a previous regular meeting.
